1. Acceptance of Terms

Welcome to Syralis Records. These Terms of Service ("Terms") govern your access to and use of the Syralis Records platform, website, applications, and related services (collectively, the "Service") operated by Syralis Records ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Syralis Records provides an artist management platform that includes, but is not limited to:

  • Artist profile management and portfolio tools
  • Music distribution services to streaming platforms
  • Social media content scheduling and publishing (including integration with platforms such as TikTok and Instagram)
  • Analytics and performance tracking for connected accounts
  • Media asset management and storage

3. Account Registration and Eligibility

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

4. User Content and Conduct

You retain ownership of all content you submit, upload, or publish through the Service ("User Content"). By submitting User Content, you grant Syralis Records a non-exclusive, worldwide, royalty-free license to use, store, and transmit your User Content solely for the purpose of providing the Service (such as publishing your videos to connected social media platforms).

You agree not to use the Service to:

  • Upload or distribute content that infringes on any third party's intellectual property or other rights
  • Distribute unlawful, harmful, defamatory, obscene, or otherwise objectionable content
  • Violate any applicable local, state, national, or international law or regulation
  • Attempt to gain unauthorized access to other users' accounts or any part of the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use the Service for any purpose that is fraudulent or otherwise illegal

5. Third-Party Platform Integrations

The Service allows you to connect and interact with third-party platforms, including but not limited to TikTok, Instagram, YouTube, Spotify, and other social media and music services. By connecting a third-party account:

  • You authorize Syralis Records to access and interact with the third-party platform on your behalf, within the scope of permissions you grant
  • You acknowledge that your use of third-party platforms is subject to those platforms' own terms of service and privacy policies
  • You understand that Syralis Records is not responsible for the actions, content, or policies of any third-party platform
  • You may revoke access at any time by disconnecting the integration within your Syralis Records dashboard or through the third-party platform's settings

Syralis Records does not guarantee the availability or functionality of any third-party platform integration and shall not be liable for any disruptions, changes, or discontinuation of third-party services.

6. Intellectual Property

All content, features, and functionality of the Service (excluding User Content), including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of Syralis Records or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any portion of the Service without our prior written consent.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how Syralis Records collects, uses, and shares your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING. SYRALIS RECORDS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYRALIS RECORDS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
  • ACTIONS TAKEN BY THIRD-PARTY PLATFORMS IN RESPONSE TO CONTENT PUBLISHED THROUGH THE SERVICE

IN NO EVENT SHALL SYRALIS RECORDS' TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO SYRALIS RECORDS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Syralis Records and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any rights of another party, including any third-party platform terms

11. Termination

Syralis Records may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and associated data, subject to our data retention obligations
  • All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

12. Modifications to the Service and Terms

Syralis Records reserves the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice. We may also revise these Terms from time to time. The most current version will always be posted on this page with an updated "Last updated" date. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the competent courts of the Netherlands.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by Syralis Records on the Service, constitute the entire agreement between you and Syralis Records regarding the use of the Service.
